Terms of Service

These Terms of Service constitute a legally binding agreement between you and Furrsati. Please read them carefully before using our platform.

1. Introduction & Acceptance of Terms

Welcome to Furrsati ("we," "us," "our"). These Terms of Service ("Terms") govern your access to and use of the Furrsati platform, including our mobile application, website, and all related services (collectively, the "Platform"). By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Furrsati operates a freelancing marketplace that connects freelancers with clients through escrow-protected payments processed via Stripe. The Platform is operated by Furrsati from Beirut, Lebanon.

If you do not agree to these Terms, you must not create an account or use the Platform. Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of such modifications.

2. Definitions

  • "Platform" means the Furrsati mobile application (iOS and Android), the Furrsati website, and all associated services, tools, and features made available by Furrsati.
  • "User" means any natural person who creates an account on the Platform, whether as a Freelancer, Client, or both.
  • "Freelancer" means a User who offers professional services, submits proposals, and delivers work through the Platform.
  • "Client" means a User who posts job listings, reviews proposals, hires Freelancers, and funds milestones through the Platform.
  • "Escrow" means the secure holding of Client funds by Stripe on behalf of the Platform, pending approval of deliverables or resolution of a dispute.
  • "Milestone" means a discrete, defined unit of work within a Contract, with specified deliverables, acceptance criteria, and an associated payment amount.
  • "Contract" means the binding agreement created between a Client and Freelancer when a proposal is accepted, incorporating the agreed milestones, deliverables, timelines, and payment terms.
  • "Content" means any text, files, images, audio, video, code, or other materials uploaded, submitted, or transmitted through the Platform.
  • "Services" means the freelancing marketplace, escrow payment system, messaging, dispute resolution, and all other features provided through the Platform.

3. Eligibility & Account Registration

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By creating an account, you represent and warrant that you meet these requirements.

You agree to provide accurate, current, and complete information during registration and to keep this information updated at all times. Providing false, misleading, or outdated information constitutes a material breach of these Terms and may result in immediate account termination.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree to notify us immediately at support@furrsati.com of any unauthorized access to or use of your account. Furrsati shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

Each User may maintain only one active account. Creating multiple accounts to circumvent Platform rules, manipulate ratings, or commit fraud is strictly prohibited and will result in permanent ban and forfeiture of any funds held in escrow.

4. KYC Verification

Freelancers are required to complete Know Your Customer ("KYC") verification before receiving any payments through the Platform. KYC verification requires submission of a valid government-issued photo identification document (passport, national ID card, or driver's license) and proof of current residential address.

Furrsati reserves the right to request additional verification documents at any time and to reject or revoke KYC approval if submitted documents are found to be fraudulent, expired, or otherwise invalid. Failure to complete or maintain valid KYC verification will result in the suspension of payment processing and may lead to account restrictions.

KYC verification documents are processed and stored in accordance with our Privacy Policy. By submitting KYC documents, you consent to our verification procedures and acknowledge that we may use third-party verification services.

5. User Roles & Responsibilities

Freelancers represent, warrant, and agree to:

  • Deliver work that meets or exceeds the specifications, quality standards, and acceptance criteria defined in the applicable milestone
  • Communicate promptly, professionally, and in good faith with Clients through the Platform's messaging system
  • Submit milestone deliverables within the agreed-upon timelines, or proactively communicate any delays with reasonable justification
  • Not share personal contact information (phone numbers, email addresses, social media handles) to circumvent the Platform or avoid Platform fees
  • Possess the necessary skills, qualifications, and legal right to perform the services offered
  • Not subcontract or outsource work to third parties without the express written consent of the Client

Clients represent, warrant, and agree to:

  • Provide clear, detailed, and accurate job descriptions, requirements, and acceptance criteria for each milestone
  • Fund milestones through the escrow system before expecting work to commence on those milestones
  • Review submitted deliverables and either approve or raise concerns within a reasonable timeframe (not exceeding 14 calendar days from submission, unless otherwise agreed)
  • Not request work outside the scope of funded milestones without creating and funding additional milestones
  • Not use deliverables for which payment has not been released through the Platform
  • Treat Freelancers with respect and professionalism in all communications

6. Job Posting & Proposals

Clients may post job listings with descriptions, requirements, budgets, timelines, and skill requirements. All job postings must be for legitimate, legal work and must not violate any applicable laws, regulations, or third-party rights. Furrsati reserves the right to remove any job posting that violates these Terms or is deemed inappropriate.

Freelancers may submit proposals in response to job listings. Each proposal must include a breakdown of work into milestones with clearly defined deliverables, timelines, and pricing. A submitted proposal constitutes a binding offer that, once accepted by the Client, creates a Contract between the parties.

Furrsati does not guarantee that any job will receive proposals, that any proposal will be accepted, or that any User will be hired. The Platform serves as a marketplace to facilitate connections β€” the decision to enter into a Contract rests solely with the parties involved.

7. Contract Formation & Obligations

A Contract is formed when a Client accepts a Freelancer's proposal. Upon acceptance, both parties are legally bound to perform their respective obligations as defined in the Contract, including but not limited to the delivery of work, funding of milestones, and adherence to agreed timelines.

The terms of each Contract are defined by the accepted proposal, including milestone descriptions, deliverables, acceptance criteria, payment amounts, and timelines. Any modifications to a Contract must be mutually agreed upon by both parties through the Platform's messaging system.

Neither party may unilaterally cancel a Contract once milestones have been funded. If both parties agree to cancel, unfunded milestones are voided and funded milestones are handled according to the escrow terms in Section 8.

8. Escrow & Payment Terms

All payments on Furrsati are processed through our escrow system powered by Stripe. When a Client funds a milestone, the payment is captured via Stripe and held securely in escrow. Funds remain in escrow until the Client approves the submitted deliverable, a dispute is resolved, or the Contract is cancelled under the terms of this agreement.

Clients are charged only the milestone amount plus any applicable Stripe payment processing fees at the time of funding. Furrsati does not charge Clients any platform fee, commission, or surcharge. Stripe's processing fees are set by Stripe and are not controlled by Furrsati.

Funds held in escrow do not accrue interest. Any interest generated on escrowed funds belongs to the Platform. Escrow funds are not deposits and are not held in individual segregated accounts β€” they are pooled in Furrsati's Stripe account and tracked through our internal ledger system.

Furrsati uses Stripe as its sole payment processor. By using the Platform's payment services, you agree to be bound by Stripe's Terms of Service and Stripe's Connected Account Agreement, as applicable. Furrsati is not responsible for any errors, delays, or failures caused by Stripe.

In the event that Stripe suspends, restricts, or terminates Furrsati's access to payment processing, Furrsati will make commercially reasonable efforts to resolve the issue and process pending payments. However, Furrsati shall not be liable for delays or losses caused by Stripe's actions.

9. Milestone Workflow

Each milestone follows a structured workflow:

  • Funding β€” The Client funds the milestone by completing a payment through Stripe. The funds are held in escrow. Work should not begin until the milestone is funded.
  • Delivery β€” The Freelancer completes the work and submits the deliverable through the Platform, along with any required documentation or files.
  • Review β€” The Client reviews the submitted deliverable against the agreed specifications and acceptance criteria. The Client must either approve the deliverable or request revisions within 14 calendar days of submission.
  • Release β€” Upon Client approval, the Platform releases payment from escrow. The Freelancer receives 90% of the milestone amount, and 10% is retained by Furrsati as a service fee.

If the Client fails to review a submitted deliverable within 14 calendar days, Furrsati reserves the right to auto-approve the milestone and release payment to the Freelancer, after providing the Client with a 48-hour notice and opportunity to respond.

10. Dispute Resolution

Either the Client or the Freelancer may raise a dispute on any funded milestone where they believe the other party has failed to meet their contractual obligations. Upon filing a dispute, the escrow funds associated with that milestone are immediately frozen, and neither party may withdraw or use the disputed funds until the dispute is resolved.

Dispute Resolution Process

The dispute resolution process follows these mandatory steps:

  • Filing β€” The disputing party submits a formal dispute through the Platform, providing a detailed description of the issue and the desired resolution.
  • Evidence Collection β€” Both parties are given a mandatory evidence submission period of 72 hours from the time of filing. Each party must submit all relevant evidence including, but not limited to: the original milestone specifications and acceptance criteria, all communications exchanged through the Platform, submitted deliverables and files, screenshots or screen recordings demonstrating the issue, and any other documentation supporting their position.
  • Review β€” Furrsati's dispute resolution team conducts an independent and impartial review of all submitted evidence within 48 hours of the evidence submission deadline.
  • Decision β€” Furrsati issues a written decision detailing the findings, reasoning, and resolution. Both parties are notified simultaneously.

Decision Criteria

In evaluating disputes, Furrsati's dispute resolution team considers the following criteria, weighted according to the specific circumstances of each case:

  • Scope Compliance β€” Whether the delivered work matches the milestone's written specifications, deliverables, and acceptance criteria as agreed upon in the Contract
  • Quality Standards β€” Whether the work meets reasonable professional quality standards for the type of service, taking into account industry norms and the skill level represented by the Freelancer
  • Communication & Good Faith β€” Whether both parties communicated in good faith, responded to messages in a timely manner, and attempted to resolve the issue before escalating to a formal dispute
  • Timeline Compliance β€” Whether deliverables were submitted within the agreed timelines, and whether any delays were communicated proactively with reasonable justification
  • Evidence Quality β€” The completeness, relevance, and credibility of evidence submitted by each party. Unsubstantiated claims without supporting evidence will be given less weight
  • Contract Terms β€” The specific terms agreed upon in the Contract, including any modifications mutually agreed upon through the Platform's messaging system
  • Platform Policies β€” Whether either party violated these Terms of Service or engaged in prohibited conduct during the course of the Contract

Possible Outcomes

Based on its review, Furrsati may issue one of the following resolutions:

  • Full Release to Freelancer β€” 100% of escrowed funds (minus the 10% platform fee) are released to the Freelancer. This outcome is typical when the deliverable materially complies with the milestone specifications.
  • Full Refund to Client β€” 100% of escrowed funds are returned to the Client's original payment method. This outcome is typical when the Freelancer failed to deliver work, delivered work that materially deviates from the agreed specifications, or engaged in prohibited conduct.
  • Partial Split β€” Escrowed funds are divided between the parties in a proportion determined by Furrsati based on the degree of work completed, the quality of the delivered portion, and other relevant factors. The platform fee is applied only to the Freelancer's portion.

Auto-Resolution for Non-Responsive Parties

If either party fails to respond, submit evidence, or otherwise participate in the dispute resolution process within twenty-one (21) calendar days from the date the dispute is opened, the dispute will be automatically resolved in favor of the responding party. Specifically: if the Client does not respond within 21 days, the full escrowed amount (minus the platform fee) will be released to the Freelancer; if the Freelancer does not respond within 21 days, the full escrowed amount will be refunded to the Client.

The 21-day response period begins at the time the dispute is formally filed on the Platform. Both parties are notified immediately upon filing via in-app notification and email. It is each party's sole responsibility to monitor their notifications and respond within the allotted timeframe. Furrsati is not liable for any party's failure to respond due to negligence, inattention, or technical issues on the party's end.

Finality of Decisions

All dispute resolutions issued by Furrsati are final and binding upon both parties. By using the Platform and entering into Contracts, you irrevocably agree to accept the outcome of Furrsati's dispute resolution process as the sole and exclusive remedy for disputes arising from Contracts formed on the Platform.

Furrsati acts as a neutral third-party decision-maker in disputes and is not liable for any losses, damages, or dissatisfaction arising from its dispute resolution decisions, provided such decisions were made in good faith and in accordance with the procedures described herein.

Users waive any right to pursue legal action against the other party or against Furrsati with respect to the subject matter of a resolved dispute, except in cases of demonstrated fraud, gross negligence, or willful misconduct by Furrsati.

11. Fees & Charges

Furrsati charges a service fee of 10% (ten percent) on all completed milestone payments. This fee is deducted from the milestone amount at the time of payment release and is borne entirely by the Freelancer. The Freelancer receives 90% of the funded milestone amount.

Clients are not charged any platform fee, commission, or surcharge by Furrsati. Clients pay only the milestone amount plus any applicable payment processing fees charged by Stripe. Stripe's processing fees are determined by Stripe and are subject to Stripe's pricing terms.

There are no fees for creating an account, posting job listings, submitting proposals, using the messaging system, or browsing the Platform.

Furrsati reserves the right to modify its fee structure with 30 days' advance written notice to all Users. Any fee changes will apply only to new Contracts created after the effective date of the change and will not affect existing funded milestones.

12. Withdrawal Methods

Freelancers may withdraw their available wallet balance through the following methods, subject to completion of KYC verification:

  • Bank Transfer β€” Direct transfer to Lebanese or international bank accounts in USD or LBP, subject to applicable banking fees and processing times
  • OMT β€” Cash pickup from over 1,000 OMT locations across Lebanon, subject to OMT's terms, limits, and fees
  • Whish Money β€” Transfer to your Whish wallet, subject to Whish's terms and processing times
  • USDT / Crypto β€” Withdrawal to your cryptocurrency wallet address, subject to network fees and processing times

Withdrawal processing times vary by method and are subject to the terms of the respective third-party payment provider. Furrsati is not responsible for delays, errors, or losses caused by third-party payment providers, banking institutions, or cryptocurrency networks.

Furrsati reserves the right to place holds on withdrawals if there is a reasonable suspicion of fraudulent activity, pending disputes, or violation of these Terms. Furrsati may also impose withdrawal limits for security purposes.

13. Intellectual Property

Upon full payment release for a milestone (including resolution of any dispute in favor of the Freelancer), all intellectual property rights in the delivered work product transfer to the Client, unless the parties have expressly agreed otherwise in writing through the Platform.

Freelancers retain the right to showcase completed work in their portfolio for self-promotional purposes, unless the Contract explicitly includes a non-disclosure or confidentiality clause. This portfolio right is limited to display purposes and does not grant the Freelancer any license to commercially exploit the delivered work.

Each User represents and warrants that any Content they upload, submit, or share through the Platform is either owned by them or properly licensed, and does not infringe upon any third party's intellectual property rights, trademarks, copyrights, patents, trade secrets, or other proprietary rights.

Furrsati does not claim ownership of any Content created by Users. However, by using the Platform, you grant Furrsati a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your Content solely for the purpose of operating and promoting the Platform.

14. Prohibited Conduct

The following activities are strictly prohibited on the Platform. Violation of any of these provisions may result in immediate account suspension or termination, forfeiture of funds, and potential legal action:

  • Fraudulent activity, scams, identity theft, or misrepresentation of skills, qualifications, experience, or identity
  • Sharing personal contact information (phone numbers, email addresses, social media, messaging apps) for the purpose of conducting transactions outside the Platform or avoiding Platform fees
  • Harassment, threats, intimidation, discrimination, or abusive behavior toward any User or Furrsati staff
  • Submitting fake, fabricated, or misleading reviews, ratings, portfolio items, or testimonials
  • Using the Platform for illegal activities, money laundering, terrorist financing, or services that violate applicable laws
  • Creating multiple accounts, using another person's account, or transferring your account to another person
  • Manipulating the escrow system, filing bad-faith disputes, or attempting to extract payments through deceptive means
  • Uploading malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to the Platform or other Users' devices
  • Scraping, crawling, or using automated tools to extract data from the Platform without express written permission
  • Attempting to reverse engineer, decompile, or disassemble any part of the Platform

15. Account Suspension & Termination

Furrsati reserves the right to suspend or terminate any account, at its sole discretion, with or without prior notice, for any violation of these Terms. In cases involving fraud, financial crimes, or serious prohibited conduct, Furrsati may immediately freeze all associated funds pending investigation and may report the matter to relevant law enforcement authorities.

Users may request to close their accounts at any time by contacting support@furrsati.com. Account closure is contingent upon the resolution of all pending Contracts, disputes, and escrow transactions. Any remaining wallet balance will be available for withdrawal for 90 days following the account closure request, after which unclaimed funds may be forfeited.

Upon termination, your right to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, limitation of liability, indemnification, dispute resolution, and governing law.

16. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Furrsati does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Furrsati does not guarantee the accuracy, completeness, or reliability of any Content posted by Users.

Furrsati does not endorse, verify, or guarantee the quality, safety, or legality of services offered by Freelancers, the truth or accuracy of job postings by Clients, the ability of Freelancers to deliver work, or the ability of Clients to fund milestones. Users engage with each other at their own risk.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FURRSATI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Furrsati's total aggregate liability to any User for all claims arising from or related to the Platform shall not exceed the lesser of: (a) the total amount of service fees paid by or deducted from that User in the 12 months preceding the claim, or (b) one thousand United States dollars (USD $1,000).

This limitation of liability applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and regardless of whether Furrsati has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Without limiting the foregoing, Furrsati is not liable for: the quality, accuracy, timeliness, or legality of work delivered by Freelancers; losses arising from Freelancer or Client misconduct; disputes between Users; third-party payment processing errors or delays; unauthorized access to your account resulting from your failure to safeguard credentials; or any acts of God, government actions, or other force majeure events.

18. Indemnification

You agree to indemnify, defend, and hold harmless Furrsati, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law, regulation, or third-party right; (d) any Content you post or submit through the Platform; (e) any Contract you enter into through the Platform; or (f) your negligence or willful misconduct.

This indemnification obligation survives termination of your account and these Terms. Furrsati reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Furrsati in asserting any available defenses.

19. Force Majeure

Furrsati shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government orders or sanctions, labor disputes, power failures, internet or telecommunications failures, third-party service provider outages (including Stripe), cyberattacks, or any other event beyond Furrsati's reasonable control.

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lebanon, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising from or related to these Terms or the Platform shall be brought exclusively in the competent courts of Beirut, Lebanon, and you hereby consent to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, Furrsati reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights, data security, or confidentiality obligations.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any Contract terms agreed upon between Users, constitute the entire agreement between you and Furrsati regarding your use of the Platform and supersede all prior and contemporaneous agreements, proposals, and communications, whether written or oral, relating to the subject matter hereof.

23. Assignment & Waiver

You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Furrsati. Furrsati may assign or transfer these Terms, in whole or in part, without restriction and without notice to you.

The failure of Furrsati to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Furrsati.

24. Changes to Terms

Furrsati reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. If we make material changes, we will provide at least 30 days' notice by posting the updated Terms on the Platform and sending a notification via email or in-app notification to registered Users.

Your continued use of the Platform after the effective date of any modifications constitutes your binding acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and close your account.
